Law Clerk - 18 Month Contract

Purpose

This is a contract position intended to cover an 18-month maternity leave. The Contract Law Clerk will be a member of the in‑house Demant Canada Legal Team reporting to the Head of Legal & Compliance – Canada. The Demant Canada Legal Team provides legal support to all business units operating within Canada (Hearing Care, Hearing Aids and Diagnostics).

 

You will be responsible for providing legal and administrative support to the Senior Law Clerk and three lawyers in the Demant Canada Legal Team in the areas of corporate transactions, corporate records management, financing and loans, due diligence and legal administrative operations. overseeing, supporting and executing corporate and transactional work.

 

The successful candidate will demonstrate excellent organizational ability, analytical skills and be detail-oriented with the confidence to operate with minimal supervision in a dynamic environment.

 

This position is based out of North York. Hybrid – 2 days in office.

Responsibilities

Real Estate and Leasing:

  • Review, edit and draft leases, offers to lease, lease amendments, lease extensions, notices and ancillary documents related to office and retail leases across Canada
  • Work closely with the Real Estate Group with respect to various leasing matters, including negotiations, terminations, re-branding, tenant issues and disputes, construction
  • Manage, track and report legal status updates on real estate files

 

Loans and Financing:

  • Review, edit and draft loan transaction documents, including loan agreements, security agreements, share pledge agreements, corporate and personal guarantees, supply agreements, right of first refusal agreements, amendments
  • Work closely with lawyers to manage and coordinate the loans process from beginning to end
  • Manage, track and report legal status updates on loan and financing files

 

Corporate/Commercial and General:

  • Conduct due diligence such as order, review and summarize corporate searches and registrations, including PPSA, corporate profile reports, business name searches, Bank Act searches, bankruptcy and insolvency searches, litigation searches, lien searches
  • Provide legal support in maintaining and corporate minute books and records; Draft corporate resolutions, closing books and reports
  • Co-ordinate, manage and track legal intake process and files
  • Collaborate with internal teams to respond to legal requests from various business units
  • Assist lawyers on corporate transactions, closings and legal files
  • Update and maintain precedents database and best practice directions and guides
  • Manage external legal expenses and vendors

Qualifications

  • Completion of an accredited Law Clerk program
  • Must have minimum 1-3 years corporate and/or real estate and/or financing law experience
  • Proficient in MS Suite, Adobe Pro DC, DocuSign, Oncorp/Ecore, HighQ or similar legal software
  • High level of attention to detail
  • Must have strong understanding of corporate law, contracts law, real estate, leasing and financing law
  • Experience in developing and maintaining legal document databases and tracking reports
  • Excellent time management, multi-tasking, and prioritization skills
  • Analytical thinking and research skills with the ability to assess situations, interpret and apply legislation, and recommend appropriate action
  • Ability to work independently and as part of a multi-disciplinary team in a fast-paced, high-volume work environment
  • Excellent interpersonal and communication skills (written and oral)
  • Ability to communicate with tact and discretion, can explain complex information clearly and relay instructions
  • Self-motivated individual that takes initiative and has excellent problem-solving skills
